Chapter I: General Provisions
Article 1: The name of this organization is China International Culture Association (Abbreviation: CICA).
Article 2: CICA is a national social organization dedicated to people-to-people cultural exchanges under the direct guidance and support of the Ministry of Culture of the People’s Republic of China. It is a non-profit social organization engaged in exchanges and cooperation with relevant organizations of countries worldwide through personnel exchange, publication and information exchange, performances and exhibitions as well as cultural and academic seminars and more.
Article 3: The mission of CICA is to boost, in compliance with the Constitution, laws, regulations, national policies and established social mores, the cultural prosperity of mankind, enhance the mutual understanding and friendship between the Chinese people and peoples of the world, promote social progress and safeguard world peace through cultural exchanges and cooperation with other countries.
Article 4: CICA is subject to the operational guidance of the Bureau for External Cultural Relations and the Ministry of Culture, as well as the supervision and management by the Ministry of Civil Affairs.
Article 5: The Headquarters of CICA is located at No.10 Chaoyangmen North St., Beijing, China.
Chapter II
Article 6: Scope of Activities:
(I) Organizing art performances and exhibitions at home and abroad;
(II) Organizing international academic seminars in arts and culture;
(III) Carrying out personnel exchange, publication and information exchange and cooperation with related institutions worldwide;
(IV) Carrying out exchanges and cooperation with related national civil societies of other countries.
Chapter III
Article 7: CICA will not accept applications of individuals for membership.
Article 8: Provincial culture associations, as well as international culture associations of autonomous regions and municipalities directly under the Central Government may apply for group membership of CICA. Applicants must meet the following requirements:
(I) Accept the Constitution of CICA;
(II) Have genuine intention to join CICA;
(III) Enjoy certain influence in areas relating to activities of CICA;
(IV) Actively participate in activities organized by CICA and acknowledge the leadership of CICA.
Article 9: Membership Application and Approval:
(I) The applicant submits application form to CICA;
(II) The application is reviewed, discussed and approved by the Board of Directors;
(III) The Board of Directors or organizations authorized by the Board of Directors issues the certificate of membership.
Article 10: The Rights of the Members
(I) The right to vote and be elected in CICA;
(II) The right to be involved in the activities of CICA;
(III) Priority in enjoying services offered by CICA;
(IV) The right to criticize and supervise the work of CICA and provide suggestions;
(V) Voluntary membership application and withdrawal;
(VI) The right to carry out international cultural exchange activities at regional levels independently in accordance with relevant regulations;
(VII) Priority in presenting local exchange programs delegated by CICA.
Article 11: Obligations of Members:
(I) Implement the resolutions of CICA;
(II) Preserve the legitimate rights and interests of CICA;
(III) Undertake cultural exchange tasks delegated by CICA;
(IV) Actively recommend international cultural exchange programs to CICA;
(V) Update CICA with new developments in areas of interest and provide related information;
Article 12: To withdraw from CICA, members must notify CICA in written form and return the certificate of membership.
Article 13: Members who seriously violate the Constitution of CICA shall be subject to expulsion through voting by the Board of Directors or Executive Board of Directors.
Chapter IV: Organizational Structure, Election and Dismissing of the Executives
Article 14: The Members' Congress is the highest authority of CICA. It shall:
(I) Formulate and modify the Constitution of CICA;
(II) Elect and dismiss the Directors;
(III) Review and audit the work reports and financial statements of the Board of Directors;
(IV) Determine the termination of CICA;
(V) Determine on other important issues;
Article 15: The Members' Congress shall meet with the participation of two thirds of the members at minimum, and the resolutions adopted by Members' Congress shall take effect after receiving at least half of the votes in favor.
Article 16: The Members' Congress shall meet once every 5 years. In case of an early or postponed election due to special circumstances, it must be voted yes by the Board of Directors, notified to the competent authorities for review, and approved by the registration authority. However, the election shall not be postponed for more than one year.
Article 17: The Board of Directors is the executive body of the Members' Congress; it supervises CICA in carrying out regular duties during the inter-session period and answers to the Members' Congress.
Article 18: The Board of Directors shall:
(I) Implement the resolutions adopted by General Assembly or the Members' Congress;
(II) Elect and/or dismiss the Chairman, Vice-Chairman, and Secretary-General;
(III) Prepare for and organize General Assembly or the Members' Congress;
(IV) Report work and financial situations at General Assembly or to the Members' Congress;
(V) Determine the admission and dismissal of members;
(VI) Determine the establishment of offices, branches, representative offices, and entities;
(VII) Determine the appointment of the Deputy Secretary-General and main executives of all the departments;
(VIII) Supervise all departments in their performance of duties;
(IX) Formulate internal management regulations;
(X) Determine other important issues.
Article 19: Meetings of Board of Directors must have the participation of more than two thirds of the directors, and the resolutions adopted by the meetings shall take effect after being voted yes by at least over two thirds of the participating directors.
Article 20: The Board of Directors shall meet at least once a year. In case of special circumstances, it can be held in the form of correspondence.
Article 21: CICA establishes the Executive Board of Directors by the Board of Directors through election. The Executive Board of Directors exercises the authorities under Paragraphs (I), (III), (V), (VI), (VII), (VIII) and (IX) of Article 18, during the inter-session period of Board of Directors, and shall supervise the Board of Directors.
Article 22: The Executive Board of Directors shall meet only when at least two thirds of the Executive Directors are present, and the resolutions adopted by the meetings shall come into effect if voted yes by at least two thirds of the participating Executive Directors.
Article 23: The Executive Board of Directors shall meet at least every 6 months. In case of special circumstances, it can be held in the form of correspondence.
Article 24; The Chairman, Vice-Chairman, and Secretary-General of CICA shall:
(I) Uphold the principles and policies of the Chinese Communist Party, and have high political consciousness;
(II) Be highly influential in the working fields of CICA;
(III) Not be more than 70 years old in their terms of office. The Secretary-General shall perform duties on a full-time basis. Exceptions can be made only after being submitted to and approved by competent authorities;
(IV) Be healthy and capable of carrying out regular duties;
(V) Have never received any prior criminal penalty of deprivation of political rights;
(VI) Have full capacity for civil conduct.
Article 25: In cases of overage for the Chairman, Vice-Chairman and Secretary-General. Candidates shall not take office before the case is being voted yes by the Board of Directors, submitted to the competent authorities for review, and approved of by the registration authority.
Article 26: The term of office for the Chairman, Vice-Chairman, and Secretary-General of CICA is 5 years. In case of term extension under special circumstances, the Chairman, Vice-Chairman, and Secretary-General shall not take the posts until the case is being voted yes by at least over two thirds of the members of the Members' Congress, submitted to the relevant departments for review, and approved of by the registration authority.
Article 27: The Secretary-General of CICA is the legal representative of the organization and shall not concurrently serve as the legal representative of other organizations.
Article 28: The Chairman of CICA shall:
(I) Call and chair the meetings of the Board of Directors and the Executive Board of Directors;
(II) Review and assess the implementation of resolutions adopted by the General Assembly, Members' Congress, the Board of Directors and the Executive Board of Directors;
(III) Sign important documents on behalf of CICA.
Article 29: The Secretary-General of CICA shall:
(I) Supervise the offices in performing daily duties and take lead in the implementation of annual work plans;
(II) Coordinate the branches, representative offices, and entities in the performance of duties;
(III) Nominate Deputy Secretary-Generals and the main executives of offices, branches, representative offices and entities, and submit the nominations to the Board of Directors or Executive Board of Directors for approval;
(IV) Determine the appointment of full-time staff for offices, representative offices, and entities;
(V) Perform other routine duties.
Chapter V: Principles of Asset Management and Use
Article 30: Source of Funding
(I) Donations from domestic and foreign groups and individuals;
(II) Government subsidies;
(III) Income from activities or services carried out in the scope of activities;
(IV)Interest from bank deposits;
(V) Other legitimate income.
Article 31: The Members of CICA are group members and no membership fee is charged.
Article 32: The funds of CICA must be used within the scope of business according to the Constitution for the development of the undertakings and shall not be distributed among members.
Article 33: CICA shall establish strict financial management system and ensure the legitimacy, authenticity, accuracy and completeness of the accounting information.
Article 34: CICA shall be equipped with qualified professional accounting personnel. Accountants shall not serve concurrently as cashiers. Accounting personnel must carry out financial accounting and implement accounting supervision. Accounting personnel must complete succession procedures before their transfer or resignation.
Article 35: Asset management of CICA must be subject to the financial management systems of the State and the supervision of the General Assembly, or the Members' Congress and financial departments. Assets from the sources of government subsidies or social donations must be supervised by the auditing authority, and related information shall be declared to the public in an appropriate manner.
Article 36: CICA must take financial audit organized by the registration authority and competent departments before election or the change of legal representatives.
Article 37: The assets of CICA shall not be misappropriated, divided or embezzled by any departments and individuals.
Article 38: Salary, insurance, and welfare policies of the full-time staff of CICA shall be implemented with reference to the regulations for public institutions under government administration.
Chapter VI: Amendments
Article 39: Amendments of the Constitution must be submitted to the General Assembly or the Members' Congress for review after being voted yes by the Board of Directors.
Article 40:Amendments of the Articles of Association must be reviewed and approved by the competent authorities within 15 days after recognition by the General Assembly or the Members' Congress and shall take effect after being verified by the registration authority.
Chapter VII: Dissolution and Disposal of Property in case of Dissolution
Article 41: A dissolution motion shall be proposed by the Board of Directors or Executive Board of Directors if CICA has fulfilled its mission, is to dissolve spontaneously, requires dissolution due to separation, merger, or other causes.
Article 42: A dissolution motion of CICA must be voted yes in the General Assembly or the Members' Congress and submitted to the competent departments for review and approval.
Article 43: CICA must establish the liquidating organization under the guidance of competent authorities before dissolution to offset all claims and debts and deal with the follow-up issues. No activities other than liquidation shall be carried out during this period.
Article 44: CICA shall be dissolved after the dissolution procedure is completed by the registration authority.
Article 45: Remaining properties after the dissolution of CICA shall be used for the development of undertakings related to the mission of CICA in accordance with the regulations of the State, under the supervision of competent authorities and the registration authority.
Chapter VIII: Supplementary Provisions
Article 46: The Constitution of CICA was adopted by the Members' Congress on September 2, 1999.
Article 47: The Board of Directors of CICA reserves the right of final interpretation of this Constitution.
Article 48: The Constitution of this Association shall take effect on the date of approval by the registration authority.
